These Terms of Service (the “Terms”) govern your access to and use of the pet search platform (the “Platform”) operated by TechYourChance LLC (the “Company”). By accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree with any part of these Terms or the Privacy Policy, you must not use the Platform.
You must be at least 13 years old to use the Platform. If you are under the age of 18, you may use the Platform only with the involvement and consent of a parent or guardian. You are responsible for ensuring that any registration information you submit is accurate and up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. The Company reserves the right to suspend or terminate your account at any time if it suspects that you have violated these Terms or engaged in unauthorized activities.
When using the Platform, you agree to abide by the following rules and refrain from any prohibited activities:
The Platform may allow you to submit or post content, such as pet listings, lost or found pet reports, photos, comments, or other information (“User Content”). You retain ownership of any intellectual property rights that you hold in the User Content you provide. However, by submitting User Content to the Platform, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content on the Platform and in related promotional materials, for the purpose of operating and improving the services.
You represent and warrant that you have all necessary rights to submit the User Content and that such content does not violate these Terms or any applicable law. The Company is not responsible for any User Content and does not endorse any opinion contained in User Content. You understand that all User Content is the sole responsibility of the person who submitted it. The Company reserves the right (but has no obligation) to review, monitor, remove, or edit User Content at its sole discretion, including if such content violates these Terms.
The Platform may include links to third-party websites or display content provided by third parties (such as pet adoption listings from shelters or rescues). These linked sites and third-party content are not under the control of the Company, and the Company is not responsible for the accuracy, legality, or any other aspect of the content on those sites. Inclusion of any third-party link or content on the Platform does not imply approval or endorsement by the Company. If you access third-party websites or services through our Platform, you do so at your own risk, and you should review the terms and policies of those third parties.
All content and materials available on the Platform (except for User Content), including but not limited to text, graphics, logos, buttons, icons, images, software, and audio/video clips, are the property of TechYourChance LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and its content for your personal, non-commercial use, subject to your compliance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Platform’s content or software, nor may you reverse engineer or attempt to extract the source code of that software, unless such activities are expressly permitted by law or you have received the Company’s prior written permission.
The Platform and all its services and content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, the Company disclaims all warranties, express or implied, regarding the Platform, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Company does not guarantee that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected. You understand that you use the Platform at your own discretion and risk.
To the fullest extent permitted by applicable law, in no event will TechYourChance LLC or its directors, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Platform; (b) any conduct or content of any third party on the Platform, including without limitation any defamatory, offensive, or illegal conduct of other users or third parties; (c) any content obtained from the Platform; or (d) unauthorized access, use, or alteration of your transmissions or content.
In no case shall the Company’s aggregate liability for all claims arising out of or relating to the use of the Platform exceed one hundred U.S. dollars (USD $100) or the amount you paid to the Company for the use of the Platform in the past six months, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless TechYourChance LLC and its affiliates, officers, agents, employees, partners, and licensors from and against any and all claims, losses, liabilities, damages, judgments, awards, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any law or the rights of any third party.
The Company reserves the right, in its sole discretion, to terminate or suspend your access to the Platform or your account at any time, with or without notice, for any reason, including if we believe that you have violated these Terms or engaged in behavior that we determine to be inappropriate or unlawful. Upon termination, your right to use the Platform will immediately cease. You may also discontinue use of the Platform at any time. Sections of these Terms that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will remain in effect after your access to the Platform has been terminated.
The Company may modify or update these Terms from time to time at its sole discretion. If we make material changes, we will provide notice through the Platform or by other means to inform you of the updates. Your continued use of the Platform after any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically for any updates or modifications.
These Terms and any dispute arising out of or related to your use of the Platform will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. You agree that any legal action or proceeding related to the Platform or these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the exercise of personal jurisdiction by such courts. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
